第一条： 房室基本情况

甲方出租的商用房(以下简称该商用房或承租商用房)坐落于____________________________ ;乙方承租的建筑面积__________平方米，室内为未经装修的毛坯房，乙方须重新装修及设置经营所需的配套设施，乙方对于该商用房已实地察看且已做过必要的了解。对于建筑面积在计算上可能出现的微小误差，乙方表示理解并接受。

第二条 ： 商用房用途

乙方应根据承租商用房的具体情况和相关的法律法规，设置自身的经营项目，并就及时办理合法的报批(经营)手续，否则因些造成的任何经济损失和后果责任均应由乙方承担与甲方出出租商用房没有关系。

第三条： 合同期限、租用标准

2、装修期，从_____年_____月_____日至_____年_____月_____日，装修期乙方不付房租，但付物业费，水电费等其他费用，装修期算在合同期内，装修期内出现的一切不良后果均由乙方负责与甲方无关。

3、租金为税前租金，该租金不含物业费取暖费，水电费等一切费用。商用房的房产税、个人所得税、物业税等由商用房租金引起的税费均由甲方承担与乙方无关。

第四条： 商用房交付及收回

1、甲方收到首期租金后即将商用房移交给乙方，乙方接收该商用房以目前现状为准。

2、合同期满或中途由乙方主动解除合同，乙方应立即搬离并交还承租商用房给甲方。交房时乙方原有的装修配套设施亦无条件交归甲方。

3、如因乙方未能履约付租金导致合同解除，甲方可以提前通知(或在承租商用房门口张贴通知信函)甲方要求收回商用房，乙方应按通知要求腾空并交还承租商用房。逾期不交还承租商用房时，甲方有权采取包括换锁等手段在内的措施收回商用房。对于乙方在承租商用房内所有遗留物品，甲方有权自行外理，乙方无权向甲方索要或索赔。

第五条： 关于商用房产权(使用权)的承诺

1、甲方保证所出租的商用房产权清楚，没有纠纷，有其合法的出租资格。若因商用房产权发生纠纷，导致乙方无法使用商用房，由甲方承担责任并对乙方进行等价赔偿。

2、乙方有权根据市场需要自由设置其经营项目并对其经营承担市场风险。在乙方申办相关证照时，甲方同意出具有效的相关手续。其申办成功与否，以及所需支付的费用，均由乙方负责。

第六条： 商用房维修责任

租赁期间，乙方对承租商用房及其设施应妥善管理、积极维护并负责修缮。租赁期间，有关防火安全、门前三包、综合治理及安全保卫等工作，乙方应执行当地有关部门的规定，同时还应服从甲方及有关部门的监督检查。

第七条： 商用房改造及装修

乙方可以根据需要对承租商用房进行装修，同时承诺在进行装修(含房屋隔断、消防、环保设施等)时委托在相关资质的设计、施工、安装企业进行，如需报建和验收，乙方还应自行办理报验手续。乙方同时保证：

1、在装修时，绝不破坏商用房结构安全;

2、保证原有的设施(包括水、电、暖)不被破坏，如需改造或增添设施，应委托专业公司安装施工，平时保证合理使用并使其功能良好。否则，如因乙方未能执行上述约定，导致出现任何不良后果，均由乙方负责。

3、如果装修卫生间或其他与水相关的用途，则按规定做好防水层且须经过闭水实验，保证不会出现渗漏问题。否则，乙方应负责返工重做。如果造成甲方或相邻商户损失，乙方应负责赔偿。

4、因乙方装修施工不当或因使用、维护不当造成诸如商用房和附属设施损坏等情况，影响到甲方或第三方的，由乙方承担相应责任。

5、由于乙方在使用过程中其自身原因和过失造成的商用房及第三方的损失，应由乙方承担赔偿责任。

第八条： 消防责任

甲方出租的商用房设有消防设施，乙方承诺保证消防设施的正常有效，防止火灾隐患。

第九条： 相关费用

乙方应按有关部门(水、电)的收费标准承担各项费用，如乙方不按时支付上述各费用，则应无条件承担延期付款的后果责任(包括停水停电)。商用房移交后，双方应及时核对水、电表用量度数，并补齐所欠全款。

第十条: 租赁期满与期间转让

1、租赁期满后,乙方无任何违约情况,缴清所有费用后,本合同随即终止.如乙方要求继续租赁,应当在租赁期满前三个月向甲方提交正式书面申请,甲方如果决定继续出租商用房,应在同等条件下,优先租给乙方.

2、合同期间,如果乙方因自身方面的原因决定转让承租商用房,则应提前2个月向甲方提出书面申请,经甲方书面批准同意后,双方在确保甲方租金收益不受影响的前提下,另行签订《转让协议书》.乙方应在该协议书规定范围内转让而不能私自将承租商用房转租、转让、抵押他人.否则视乙方为违约,甲方有权收回商用房(包括装修及设施设备),解除本合同.因此造成的一切法律责任和经济损失均由乙方负责.

第十一条: 违约责任

本合同签订后,双方均必须依合同约定履行义务,享有权利,任何一方违反合同的约定或下列各项内容时,必须承担违约责任.

一、甲方有权在乙方有下列情形时,可以采取包括停水、停电在内的强制措施,催收租金或提前收回租赁商用房,租赁合同也随即终止.

(1)、乙方擅自将承租商用房转租、抵押、调换使用或改变用途,转借他人时;

(2)、乙方未按合同规定支付租金,每逾期一天则应按每日200元的标准向甲方付违约金,逾期满7天乙方仍不履行支付租金及违约金时;

(3)、乙方破产或进行清盘(包括法院查封)而无法履约付租时;

甲方因上述原因决定收回商用房时,有权要求乙方限期搬迁退房,超过搬迁期限后,视乙方为搬迁完毕,商用房内如有遗留物品,则视为乙方主动放弃,甲方有权自行处理,乙方无权追偿.如果乙方无理占房不退,甲方有权采取强烈措施(包括停水、停电、强行进入等)且有权追索乙方占有商用房的赔偿责任.

二、乙方有权在甲方有下列情形时，终止本协议并由甲方承担商用房的装修费用。

(1)、未经乙方同意强行提前收取租费时;

(2)、不按本合同第三条第1款规定，擅自大幅提高房租费时;

(3)、在合同期未满前，将出租房出租给第三方时;

(4)、在未通知乙方的情况下将出租房转让所有权并给甲方带来损失时;

(5)、在合同期满后，乙方要求续约时，甲方在等同条件下将房屋出租给第三方时;

第十二条: 免责条款

因不可抗力原因(包括地震、洪涛、战争、法律政策改变等)导致该商用房损坏或致使本合同无法履行时,双方同意解除本合同并互不承担责任.

第十三条: 其他事项

1、乙方在装修及日后经营过程中,不能出现扰民现象,否则乙方应负责整改,因此引起的后果责任由乙方承担.

2、在商用房管理工作中,遇到突发事件(如火灾、漏水、等)甲方有权在乙方不在场的情况下,进入乙方承租商用房.如在采取应急措施防止事故扩大的行为中影响了乙方并给乙方造成损失的,乙方表示理解并不要求甲方承担赔偿责任.

3、甲乙双方确定信函(包括其它文字)投递的合同与有效地址为:(A)甲方以合同首页所述地址为准(B)乙方以

上述承租商用房所在地址为准.甲方在无法联系到乙方的情况下,可以在乙方承租商用房门口张贴通知信函.此张贴的通知信函等同于甲方依法履行了告知义务.

第十四条: 争议的解决

本合同执行过程中如发生纠纷,双方同意协商解决,协商不成时,双方同意通过法院解决.

第十五条: 其它事项

本合同未尽事项,由甲乙双方另行补充合同,补充合同与本合同不一致的 以补充合同为准.

第十六条:

I gained the first scholarship for four times and I joined the Communist Party at the college.After my graduation in June 2000，I worked in ——company.I got a position in the Technology Department the first year and I was involved in several internet projects， such as the one for College student Recruitment in Henan Province and the one for Computer Center in Mathmatics Department in Zhengzhou University. Owning to my hard work ，I was rewarded the Best Newcomer Prize in the year 2000. The next year， I was transferred into the Principal Customer Department， responsible for the Developing and strengthening a good relationship between the principal customers and my company .Two major customers， Henan Provincipal Department of Transportation and Henan Provincial Department of Personnel， are under my work. However，with time going on ，the more I experienced， the clearer I realized that I'm really interested in the Enterprise Management .I find many enterprises have the problem of an unmatched management to its developing speed . I'm eager to learn more about management and I hope I can study further in this University. So I resigned in August ， 2003 and started the way to pursuing my studies. After about half year's hard work， I'm finally standing before you honorable professors now. I'm really excited . Though I've sacrificed much on my way to pusuing studies， I believe it's worthwhile. I believe working hard will finally be repaied .Thank you !
