个人独资企业申请变更登记,应当向登记机关提交投资人签署的变更登记申请书以及国家工商行政管理总局规定提交的其他文件。从事法律、行政法规规定须报经有关部门审批的业务的,应当提交有关部门的批准文件。委托代理人申请变更登记的,应当提交投资人的委托书和代理人的身份证明或者资格证明。 登记机关应当在收到规定的全部文件之日起15日内,作出核准登记或者不予登记的决定。予以核准的,换发营业执照或者发给变更登记通知书;不予核准的,发给企业变更登记驳回通知书。

至于实质要件与形式要件的关系,实质要件是驰名商标构成的事实条件,形式要件是驰名商标构成的法律条件,二者不可偏颇。如果过分强调实质要件而轻视甚至忽视形式要件,容易导致法律秩序的混乱;反之,如果过分强调形式要件而不尊重实质要件,则会背离驰名商标保护的宗旨,走向程序主义或虚无主义。

公司的重整制度与破产制度都有哪些不同?其中又有哪些地方是相同的?在公司运行过程中,如果遭遇重整或破产,又应该怎么处理?
一、公司重整与破产的不同
1、程序目的相同。如果说破产和解是对传统破产法的第一次否定,那么破产重整则是对传统破产法在更高层次上的背离和重塑。其目的均在破产清算程序之外,引进破产预防的程序机制,从而使破产法在更大系统上臻于完善。因而从法律部门的性质上看,破产和解法与破产重整法皆属破产预防法的组成部分。
2、程序性质相同。作为预防破产的法律程序,二者均在非讼的前提和状态中伸展和延伸,因而均属非讼事件范畴,均采取当事人申请主义的程序启动原则,在法律规范不敷使用时,均可准用民事诉讼法的规定。
3、均以意思自治原则为程序推进的基础,尽管在和解与重整中,法院行使司法裁量权的能动性及其比重大小有所区别,和解之能否达成、重整之能否进行,无不以当事人及其他利害关系人的意思自治和共同合意为基础。这部分取决于其非讼性质,部分则是由于他们所调整的毕竟均属私权关系的缘故。
二、但相同点是在相异点的背景下反衬出来的,二者在如下方面均有着不同
1、直接目的不同。尽管预防破产为二者所共同的终极目的,但在直接目的上二者显有区别。破产和解是通过债权债务关系的在调整来维持债务企业的法人人格于不坠,从而实现预防破产的目的,具有消极性和外在性的特点;破产重整的目的则更深入一层,不仅在于消极地维持债务企业的法人人格,而且深入企业内部,寻找其深层 “病因”,采取有效对策,从而使债务企业重获健全的生产经营能力,收取治标与治本的双重功效,因而具有积极性和内在性的特点。
2、适用对象不同,破产和解的适用对象与破产清算的范围一致,较之破产重整远为宽泛。除美国等极少数国家破产重整的适用对象,不仅包括公司,而且还包括合伙与个人外,多数国家的重整制度均以公司为对象严格其适用范围。
3、申请权人不同。二者尽管同样采取当事人申请主义,但和解一般只有债务人才能成为申请权人,而重整理论上除债务人之外,具备一定条件的股东和债权人均有申请权。
4、利害关系不同。就维护的利益关系而言,和解程序是在债权人和债务人的对立状态下进行的,而从维护债权人利益为主;重整程序则是在债权人和债务人的同心协力状态下进行的,能够对债权人和债务人双方利益做到统筹兼顾。
5、合意的性质和地位不同。和解与重整均以当事人的合意为基础,但和解程序中的合意乃是债权人与债务人之间成立的集体性和强制性契约,性质上属于合同行为;重整程序中的合意则是由债权人、债务人和其他利害关系人立于同一立场,本着同一目标作出的意思表示,性质上属于共同行为。

但是如果公司能够进行重组或者说有其它的公司来接手破产公司,那么你的股票还在,只是改名了。一般的公司会重组,不会让你亏得一无所有的。但是ST类型的股票,就得注意其风险了,它存在退市的可能,风险很大。不过也可以到三板市场进行股份转让。

2003年4月17日国家工商行政管理总局发布了《驰名商标认定和保护规定》,其中对驰名商标的保护措施作了如下规定:
1. 当事人认为他人经初步审定并公告的商标违反《商标法》第 13条规定的,可以依据《商标法》及其实施条例的规定向商标局提出异议,并提交证明其商标驰名的有关材料。当事人认为他人已经注册的商标违反《商标法》第 13条规定的,可以依据《商标法》及其实施条例的规定向商标评审委员会请求裁定撤销该注册商标,并提交证明其商标驰名的有关材料。
2.在商标管理工作中,当事人认为他人使用的商标属于《商标法》第13条规定的情形,请求保护其驰名商标的,可以向案件发生地的市(地、州)以上工商行政管理部门提出禁止使用的书面请求,并提交证明其商标驰名的有关材料。同时,抄报其所在地省级工商行政管理部门。
3. 当事人要求依据《商标法》第13条对其商标予以保护时,可以提供该商标曾被我国有关主管机关作为驰名商标予以保护的记录。所受理的案件与已被作为驰名商标 予以保护的案件的保护范围基本相同,且对方当事人对该商标驰名无异议,或者虽有异议,但不能提供该商标不驰名的证据材料的,受理案件的工商行政管理部门可 以依据该保护记录的结论,对案件作出裁定或者处理。所受理的案件与已被作为驰名商标予以保护的案件的保护范围不同,或者对方当事人对该商标驰名有异议,且 提供该商标不驰名的证据材料的,应当由商标局或者商标评审委员会对该驰名商标材料重新进行审查并作出认定。
4.当事人认为他人将其驰名商标作为企业名称登记,可能欺骗公众或者对公众造成误解的,可以向企业名称登记主管机关申请撤销该企业名称登记,企业名称登记主管机关应当依照《企业名称登记管理规定》处理。
